Facilities 101 - Online

This is where it all starts! An idea to develop a field for the purpose of oil and/or gas production to provide your company with cash flow! In this exciting course, for the non-engineer, you will learn a broad range of engineering techniques that affect field development, facilities and operations which, ultimately, roll up to the joint venture team to manage under an agreement. This course is an in depth look at various Gas Facilities and various Oil and Heavy Oil Facilities. Each section comprises Reservoir & Geology, Gathering and Processing Transportation and Marketing for the product you are producing. But most of all, you will learn to understand your engineers and apply that understanding to the Joint Venture arrangements.

Exams: In order to complete this course, you must pass three section quizzes AND a final exam. Each section quiz is 20 minutes long and contains 10 questions. The final exam is 90 minutes long and contains 50 questions. You must score 80% on each section quiz AND the final exam to pass.

Construction, Ownership & Operation (CO&O) Agreements - Online

The Construction, Ownership and Operation (CO&O) Agreements Course introduces learners to the agreement used when joint venture partners build and operate a jointly-owned facility. This course is divided into three modules:

  1. Construction – Facility construction is a costly venture. This module is designed to familiarize the learner with business issues involved with facility construction and how the PJVA Model CO&O agreement can be used to deal with those issues.

  2. Ownership – Ownership of a jointly-operated facility is not limited solely to the equipment. It is also concerned with the capacity of the facility and the product at the facility outlet. Partners in a facility rarely share that Ownership equally. Learners will discover how a CO&O Agreement defines what is owned by each Owner and how it affects their use of the facility.

  3. Operations – Learners will explore facility operations, the role of the Operator, and the financial issues related to facility operation. They will use industry-based scenarios to learn how the CO&O works to address these issues.

Unit Agreements - Online

This Unit Agreements Course introduces the learner to the process used join petroleum and/or natural gas rights associated with the lands so that they can be treated as one lease. This course is divided into two modules: Unitization and Unit and Unit Operating Agreements.

  1. Unitization – The pre-unitization process is one where those with control over resources need to build working relationships, discover mutual benefits, and explore the possibility of entering a Unit Agreement. This module will introduce you to the unitization process and provide you with an understanding of what it takes to form a joint venture unit.

  2. Unit and Unit Operating Agreements – A Unit is said to be formed when the unitization process is complete and a Unit Agreement has been fully executed. The Unit Agreement is a document that governs the joining of the petroleum and/or natural gas rights associated with the lands so that they can be treated as one lease. The Unit Operating Agreement (UOA) is the document that governs the unit’s operation. The Agreement is only executed by the Working Interest Owners. Learners will become familiar with the PJVA models for both of these agreements and learn how they are used to manage the joint venture.

Service Agreements - Online

Service Agreements manage situations where:

  • A party that has no ownership in a facility arranges to use someone else's facility usually in exchange for a fee; or
  • A party contracts with another party to provide a service.

Service Agreements are also used to govern the business relationship between an Operator, who in the case of a facility will also be an Owner, and a third party. This course introduces the learner to some common types of Service Agreements and allows them to explore how they work to ensure that the interests of both parties to the agreement are protected.

Joint Venture Administration - Online

This course introduces learners to Joint Venture Administration and the way in which Joint Venture Agreements are revised and maintained. It consists of nine modules:

  1. Introduction to JV Administration - Introduces learners to the world of joint ventures in the oil and gas industry. Students will learn basic terms used in the industry as well as an overview of the duties involved in a JV Administrator's role.
  2. Business Communications - Joint Venture Administrators must have well-developed business and inter-personal communication skills to function effectively in the fast-paced world of petroleum joint ventures. This module teaches the skills necessary to communicate effectively in the JV world.
  3. The Approval Process - Mail Ballots and AFEs - Mail ballots are used in the decision-making process for joint ventures governed by CO&O Agreements and by Unit Operating Agreements. Authorities For Expenditure (AFEs) are required for projects such as emergency repairs, spills, regulatory requirements, etc. This module helps learners to understand when and how these instruments are used in the joint venture approval process.
  4. Acquisition & Divestiture - The acquisition and divestiture process is a complex process. This module describes the role of the JV Administrator in the A&D process and provides learners with a solid understanding of the pertinent sections of a Purchase & Sale Agreement.
  5. Exhibition Revisions and Amendments Overview - Consistent administration of exhibits is important in tracking the chain of events within an agreement. This administrative function is an important part of how a JV Administrator manages the maintenance and administration of agreements. This module teaches the basics of exhibit revision.
  6. Exhibition Revisions and Amendments for CO&O Agreements - This module describes in detail how a JV Administrator manages the maintenance and administration of Construction, Ownership and Operating Agreements.
  7. Exhibition Revisions and Amendments for Unit and Unit Operating Agreements - This module describes the role and responsibilities of a JV Administrator in managing the maintenance and administration of Unit and Unit Operating Agreements.
  8. Exhibition Revisions and Amendments for Service Agreements - This module describes in detail how a JV Administrator manages the maintenance and administration of the commonly used PJVA Service Agreements: Model Gas Handling Agreement, the Model Contract Wells/Facilities Operating Agreement, and the Model Well Effluent Processing and Water Disposal Agreement.
  9. Joint Venture Agreement Maintenance - JV agreements are as dynamic as the oil and gas industry itself. They need to be maintained and updated to reflect any and all changes in the Units or Facilities they govern. This module concentrates on Agreement Maintenance, which is a large part of the JV Administrator's role.

Exam: In order to complete this course, you must pass a 2 hour, 100 multiple choice question exam. You must score 80% in order to pass the exam.
